Your User Agreement
Introduction
These Terms and Conditions ("Terms and Conditions") govern the use of the marketplace platform offered collectively by Courierboard LLC ("Company") at the Company's websites (Courierboard.com, Drivv.com, and CBDriver.com, collectively referred to as the "Sites") or mobile applications. The platform services provided by the Company, the Sites and mobile applications together are hereinafter collectively referred to as Drivv. Your use of Drivv constitutes your acceptance of and agreement to all of the Terms and Conditions available here, the Privacy Policy ("Privacy Policy") available here, the Membership Code of Conduct ("Membership Code of Conduct") available here, and additions to this Agreement as we may publish from time to time.
You represent and warrant that you are 21 years of age or older and capable of entering into binding contracts. When you enter into this Agreement on behalf of a company or other organization, you represent and warrant that you have the authority to act on behalf of that entity and to bind that entity to this Agreement. You are required to agree to and accept this Agreement in order to access and use Drivv. The Privacy Policy and the Membership Code of Conduct are incorporated by reference into these Terms and Conditions and these Terms and Conditions, the Privacy Policy and the Member Code of Conduct are together hereinafter referred to as the "Agreement". As a user of Drivv, you are acknowledging you have read and accepted all of the Terms and Conditions of this Agreement.
In using Drivv you acknowledge and agree that you are solely responsible for your interaction with any user you may contact through Drivv. You must perform any necessary, appropriate, and cautious investigations and checks with respect to any transactions you may enter into with users you may contact through Drivv.
A few highlights of these Terms and Conditions include:

Your acknowledgment and agreement that as a user of Drivv you will not hold Drivv responsible for other users' actions or inactions, including things they post. Drivv is a marketplace platform. Drivv is not a delivery service provider or shipper and is not involved in the communications or agreements made between shipper and delivery service provider or between delivery service providers and drivers.

Your acknowledgment and agreement that Drivv does not prequalify any delivery service provider, including but not limited to their licensing, insurance, or legality, and has no liability regarding any delivery service provider you may do business with.

Your acknowledgment and agreement that is entirely the user's responsibility to perform any necessary, appropriate, and cautious investigations and checks with respect to any transactions you may enter into with users you may contact through Drivv.
Drivv Platform
Drivv is a marketplace that enables the connection between Delivery Service Providers ("Delivery Service Provider" also referred to as a Carrier or Courier Company ("Courier Company") and Shippers ("Shipper"). A Shipper is any individual, business, or organization, that is using Drivv to obtain delivery services and delivery service quotes from a Delivery Service Provider by posting a single or multiple delivery quote request ("Delivery Quote Request"). A Delivery Service Provider is a user that provides delivery services ("Delivery Services"), also referred to as Shipping Services ("Shipping Services"). Delivery Service Providers and Shippers are herein referred to as "Users". Terms ("Terms") of a Delivery Service will also include the cost and fees for that service, referred to as a Quote ("Quote").
If you agree to the terms of a Delivery Service with another User, you and such other User form a Delivery Agreement ("Delivery Agreement") directly and solely between the two of you as set forth in more detail below.
Drivv does not provide delivery services and does not employ drivers or courier companies to perform delivery services. Drivv does not supervise, direct or control a delivery service provider's deliveries or shippers' shipments in any manner, which all Users acknowledge by using Drivv.
Using Drivv
While using Drivv, you will not:
- Post false, inaccurate, or misleading information.
- Take any action that is deemed an intentional solicitation of another party's customer or account relationship.
- Use the Site if you are not able to act on behalf of your company to post information on the Board or to transact business with those posting freight or vehicles on the Board.
- Circumvent or manipulate our fee structure, the billing process, or fees owed to Drivv; distribute viruses or any other technologies that may harm Drivv or the interests or property of Drivv users.
- Copy, modify, or distribute content from the Site including Drivv copyrights, and trademarks; or
- Collect information about users, including email addresses, without their consent.
Membership Code of Conduct
Drivv's mission is to provide a safe and secure place for individuals, organizations, and companies to post delivery-related items. Without limiting other remedies, we may limit, suspend, or terminate our service and user accounts, prohibit access to our website, remove postings, and take technical and legal steps to keep users off the Site if we think that they are creating problems, possible legal liabilities, or acting inconsistently with the letter or spirit of our policies. We also reserve the right to cancel user accounts without notice.
Courier Company (Delivery Service Provider)
Those who sign up for Courier Company membership should meet the following requirements:
Be a registered courier company in the courier business for > 1 year and have:
10 or more drivers
Courier website/domain
Business email address (i.e.
name@company.com, not Gmail, Yahoo, AOL, etc.),
Business insurance (including cargo insurance covering all deliveries by any IC drivers and general business liability insurance
Business Telephone
Physical business office and business address where customers can visit /meet
(Virtual Office, Home office or PO box
does not qualify)
Courier Company (Delivery Service Provider) or Shippers
Drivv membership is not available to:
Non Transportation companies including:
Brokers
Delivery apps
Tech delivery platforms
Online delivery network or marketplace
Load Boards
Shipper membership is for companies needing delivery service for their own company's products. Membership is not available to companies handling deliveries for other companies.

Courier company membership is not available to any web-based service, online delivery marketplace or network, delivery app or load board service that provides similar services to Drivv, including but not limited to providing quotes for delivery services or connecting shippers with delivery service providers.
Courier company members must be carriers (MC designation) with at least 5 drivers and cargo insurance to cover all deliveries shippers book on Drivv with their company. (see above for additional requirements for courier company membership.
Drivv is a quote and payment platform only. Drivv delivery providers are 100% responsible for all deliveries booked with shippers on the Drivv platform.
You must legally be able to transport the shipments you book on Drivv. You agree that is your obligation alone to comply with all statutes, regulations, and laws that apply to provide delivery services including any and all local, state, and federal licensing requirements.
As a Delivery Service Provider, you acknowledge and agree that you are responsible for all aspects of delivery service, including the price and terms you offer to the shipper. Prices, services, and terms are solely provided by the Delivery Service Provider to the shipper and not by Drivv. You acknowledge that all delivery service information in the delivery quote request is provided by the shipper and that Drivv has no control or responsibility for the accuracy of the delivery quote request information.
Shipper
You are responsible for reading all the prices, terms, and conditions submitted by Courier Companies, also referred to as Delivery Service Providers, when booking delivery service on Drivv. When you accept and make payment for a delivery quote, you are agreeing to the Delivery Service Providers' terms and conditions and entering into a legally binding agreement with the Delivery Service Provider, unless the delivery service is prohibited by law. You acknowledge and understand that pick-up times and dates and delivery times and dates are estimates only and are not guaranteed. Cancellations may be requested by any user before the delivery service has been provided.
Delivery Service Providers maintain the right to inspect your freight shipment before accepting it and have the right to refuse to transport any item prohibited by this Agreement, by law, or if the delivery service provider deems the freight poses a safety risk or hazard to the delivery service provider or its driver(s).
Delivery Service Quotes:
Drivv does not set or control prices submitted by delivery service providers. Quotes that shippers receive from Delivery Service Providers are based upon the information provided in the delivery quote request, however, the delivery service provider reserves the right to charge additional fees, in addition to the original delivery quote, if the actual shipment changes from the original quote request information, including but not limited to differences in the freight being shipped to the description provided in the delivery quote request, changes to the pickup time, the delivery time, the pickup location or delivery location, unplanned driver waiting time, and additional delivery services required to complete the delivery. Additional charges will be presented to the shipper by the delivery service provider and any additional amount due must be paid by the shipper directly to the delivery service provider. Drivv is not responsible for collecting any additional payments due from the shipper after the original quote request payment has been processed.
Online Delivery Cancellations:
For delivery services booked on Drivv: Due to the expedited nature of many delivery service quote requests, if the shipper needs to cancel a same-day delivery Service request, the shipper MUST IMMEDIATELY CONTACT THE DELIVERY SERVICE PROVIDER whose quote was selected to cancel the service and request a refund.
Refunds will be determined based upon the Delivery Service Provider's Terms of Delivery which were included in the accepted quote contract. If there is no refund policy in the Terms of Delivery then Drivv's default refund policy will apply.
Drivv Cancellation and Refund Policy for Online Quotes:
Cancellations for a non-same-day delivery request will be refunded in full if canceled prior to the day of delivery. Drivv offers a 15-minute full refund cancellation policy to the shipper.
If the shipper cancels the delivery within 15 minutes after acceptance of the quote, Drivv will provide a full refund of the quote and Drivv fee payment.
If the cancellation occurs after 15 minutes, the Delivery Service Providers' Terms of Delivery will apply. If there is no cancellation policy in the Terms of Delivery, the shipper's maximum cancellation fee will be 25% of the accepted quote amount not to exceed $300. Cancellation fees are applicable if the driver has been dispatched to the pickup location and the cancellation occurs after the dispatch.
Cancellation fees may also apply if the driver upon reaching the pickup location determines that the freight description differs from the quote request and the driver is unable to transport. (Courier Company cancellation)
Searchable Database
Drivv powered by Courierboard's searchable database search is restricted to businesses needing delivery services that are within our acceptable use guidelines. Search tools are provided only to users with a business ID, EIN, company email (not Gmail, etc.), and company office location.
Upon purchasing a new search, Drivv powered by Courierboard reserves the right to request the delivery purpose use of the search. Searches are available only for companies that need courier delivery services to move their own freight in different locations on a regular basis. It is not available for companies that offer online delivery platforms or third party brokers
Fees and Services
No fees or charges apply to trial Drivv Premium membership accounts during the stated trial membership period for your account, with the exception of driver wanted ad postings which are $45 each (available for 30 days) during the trial. Premium membership is exclusively for Courier Companies that meet our courier company membership requirements. Premium Account membership is $75 per account/ month to month. Monthly fees (for Premium members only) are charged one month in advance, and will begin after your free trial time period has elapsed. Each Premium membership charge is the fee for the upcoming 30-day period. Exchange Account memberships are always free. Exchange accounts for courier companies do not include: Access to Freight or RFP postings, Driver Recruiting functions, or a Company Profile.
You may elect to renew or cancel at any time. There are no contracts or long-term obligations. Changes to our Fee schedule may occur, and any changes are effective once posted on the site.
Unless otherwise stated, all fees are quoted in U.S. Dollars. You are responsible for paying all fees and applicable taxes associated with the Site in a timely manner with a valid payment method. If your payment method fails or your account is past due, we may notify you and/or cancel your account. To reinstate your account, you must contact Drivv directly and speak with a Member Service Representative.
Premium Trial Accounts: No fees are charged during a member's free 30-day trial membership period, except for the optional purchase of driver-wanted ads during the trial which are $45 each (30-day term). Driver Ads and Driver Search are not included with the trial membership. To access Driver Search, you must upgrade to Premium membership and pay a $75 monthly fee. Trial membership offers may vary from time to time, and from member to member. You will be notified when your trial membership is due to expire and will have the option to continue your membership at the Premium level or downgrade to a free Exchange account with limited features.
Your monthly fee invoice is viewable on your account dashboard - left menu - Invoices. The main contact person email address on the account (Company Information) will receive a monthly invoice via email and the monthly charge will appear on your credit card statement.
Exchange Accounts for posting delivery quote requests (single delivery) are always free. Paid Search Access to our courier company database is available to qualified shippers. Contact a Drivv representative for details. Request for Proposal Quote Requests (for recurring/route/multiple deliveries) are free for the first posting. Additional RFP postings are $49 each with special pricing available for multiple cities RFPs.
Premium members are charged monthly fees of $75. After your trial membership has converted to a regular membership, Premium Account monthly fees are charged to the client's payment source beginning one month after the free trial period.
You can change or cancel your account at any time - Exchange members can upgrade online and have instant access to Drivv's Premium features. Premium members may downgrade to a Free Exchange Account and continue to use Drivv's features for Exchange members.
Premium Account Cancellations: If you would like to cancel your Premium account you may log into your Account Dashboard and click the orange Upgrade Account - Change Account Status orange button. Change your account selection to
Exchange Account (free) and save by clicking the orange Update Membership Level button. Any changes in membership level, upgrades, cancellations, etc. will begin on the next monthly billing date following the date that changes are made by a member. You may also cancel your account by contacting Drivv customer support at 1-800-220-5998 or
info@courierboard.com. If you email your request, you will receive a confirmation email back confirming your cancellation. If you do not receive a confirmation reply, please contact us by calling 1-800-220-5998 as your email cancellation request may not have reached us.
Drivv reserves the right to change current membership fees at any time. Changes in pricing will be reflected on the website.
Posting Agent
A "Posting Agent" is a third-party agent, service, or intermediary that offers to post Content to the Site on behalf of others. You may not use a Posting Agent to post Content to the Site without express permission or license from Drivv. Correspondingly, Posting Agents are not permitted to post Content on behalf of others, to cause Content to be so posted, or otherwise access the Site to facilitate posting Content on behalf of others, except with express permission or license from Drivv.
No Liability
Your acknowledgment and agreement that as a user of Drivv you will not hold Drivv responsible for other user's actions or inactions, including things they post.
Your acknowledgment and agreement that Drivv is not a delivery service provider or a shipper and is not involved in the actions, communications, decisions, or agreements made by any user of the Drivv platform.
Your acknowledgment and agreement that Drivv has no control, responsibility, or liability for: the legitimacy or accuracy of quote requests or delivery service provider information, including but not limited to their company profile, the ability of delivery service providers to transport items, or the ability of shippers to send items.
Your acknowledgment and agreement that Drivv has no liability regarding any delivery service agreement and that Drivv does not guarantee or ensure the shipper or the delivery service provider will complete a delivery,
Your acknowledgment and agreement that Drivv does not prequalify any delivery service provider, including but not limited to their licensing, insurance, or legality, and has no liability regarding any delivery service provider you may do business with.
Your consent to release Drivv from liability based on claims between Users and generally.
Your acknowledgment and agreement that it is entirely the user's responsibility to perform any necessary, appropriate, and cautious investigations and checks with respect to any transactions you may enter into with users you may contact through Drivv. Due to the difficulty of individual authentication, we do not guarantee the verification of any member's identity.
Your acknowledgment and agreement that as a user of Drivv you are responsible for verifying the creditworthiness of any user posting a delivery service request and that Drivv has no liability regarding any delivery service agreements you may enter into.
Your acknowledgment and agreement that as a Drivv user, you are solely responsible and assume all liability for your interactions with any user you may contact through the Site. Drivv does not control and is not responsible for and makes no representations or warranties with respect to any user or user conduct.
Further, we cannot guarantee continuous or secure access to our services, and the operation of the Site may be interfered with by numerous factors outside of our control. Accordingly, to the extent legally permitted, we exclude all implied warranties, terms and conditions. We are not liable for any loss of money, goodwill, or reputation, or any special, indirect, or consequential damages arising out of your use of our Sites. Some jurisdictions do not allow the disclaimer of warranties or exclusion of damages, so such disclaimers and exclusions may not apply to you.
Release
If you have a dispute with one or more users, you release us (and our officers, directors, agents, subsidiaries, joint ventures, and employees) from claims, demands, and damages (actual and consequential) of every kind and nature, known and unknown, arising out of or in any way connected with such disputes.
Recruiting Activities
Drivv's Premium membership includes one driver ad slot for accounts to use to fill local driver recruiting needs. This ad slot is available to post on a continuous basis. Additional ad slots are $45 and are usable for 30 days once activated. Drivv reserves the right to change this program at any time and will provide notice on its site.
Driver Ad Content: Drivv has editorial oversight control on all ads posted on the Site. We reserve the right not to accept ads containing content we deem offensive. This includes ads containing profanity or wording that could be belittling, disparaging, or racist. Ads containing typos and/or formatting issues may be edited. If you do not accept our editing changes - you may remove your ad and any driver ad fees will be refunded on a pro-rated basis based on how long the ad has been posted.
Driver Search is included with the Premium account - up to 60 miles of your account zip code. You may search unlimited times for drivers within this search radius. No guarantee is made that drivers will be available on the Driver Search, which is offered as part of the Premium account at no additional charge. Searches in additional city zones can be purchased on a monthly basis by contacting a Drivv account representative.
Membership Restriction: Driver Ads and Driver Search are available for courier companies only using ads for local recruiting efforts. Driver Recruiting agents, Third Party Administrators, and companies with online platforms utilizing drivers are not permitted as members and are not permitted to access Find a Driver Functions on Drivv.
The additional purchase of driver ad slots is not available for companies to use to recruit drivers for other branch offices that are not registered Drivv accounts and/or nationwide corporate recruiting activities. Nationwide recruiters are prohibited from using a Drivv account to post non-local ads.
Driver Recruiting and Profiles: Drivv's recruiting platform provides a platform for posting driver ads and/or searching for drivers with driver available ads and online profiles. Drivv makes no representations regarding the drivers posting profiles, does not perform background checks, and does not review driver information. Companies using the Drivv platform to recruit drivers must use their own screening protocols to determine the validity of driver information.
You will not hold Drivv or the Company responsible for other users' actions or inactions, including things they post. You acknowledge that we are not responsible in any way in representing the validity of driver information or profiles posted on the Site. The Site is a means for companies to recruit drivers. We are not involved in any contract or hiring actions, we do not validate any information or make no representations as to the accuracy or validity of the information which the driver may provide. We have no control over and do not guarantee the truth or accuracy provided by drivers you may contact through this site for driving opportunities.
Further, we do not provide ANY driver background checking or Motor Vehicle Record validations. Any information regarding background or experience has been furnished by the driver with no review or certifications from Drivv and CBDriver as to its accuracy.
Release
By using this site, you agree to hold Drivv, the Company, and the Sites fully harmless from any claims relating to a driver you may have recruited on the Site. If you have a dispute with any user or driver you contact through the Site, you release us (and our officers, directors, subsidiaries, joint ventures, and employees) from claims, demands, and damages, (actual and consequential) of every kind and nature, known and unknown, arising out of or in any way connected with such disputes.
Restricted and Prohibited Activities
You may not list any Freight Shipment or Delivery Quote that violates any applicable, law, statute, regulation, ordinance, or prohibited items. Prohibited items are hazardous or dangerous goods that may pose a danger to safety, health, or property while being transported (such as explosive materials, flammable gases and solids, toxic substances, and radioactive materials).
Membership Restrictions & Access to the Site
Drivv grants you a limited, revocable, nonexclusive license to access the Site for personal or business use.
This Site and its services are offered exclusively to registered members including courier companies, third-party logistics, shippers, and freight forwarders. Shippers are defined as individuals, businesses, or organizations that require courier, freight, and shipping services. Eligible courier companies are defined as asset-based companies with a physical office location, business website, cargo insurance, a minimum of five drivers/vehicles, business license, and EIN, however, Drivv reserves the right to deny membership to any member, shipper, or delivery service provider without explanation.
Unless specifically granted to you in writing, this usage license does not include:
- (a) any company, website-based service, online delivery marketplace or network, delivery app or load board service that provides similar services to Drivv, including but not limited to: searching for carriers, posting freight or shipping quote requests, other online delivery quote services or systems, regional or national courier agent services, or classified listings or advertisements such as job listings for drivers.
- (b) access to the Site by Posting Agents.
- (c) access to the Site by vendors who may use the site to collect information on companies for non-delivery-related purposes including but not limited to marketing or solicitation purposes.
- (d) any collection, aggregation, copying, duplication, display, or derivative use of the Site nor any use of data mining, robots, spiders, or similar data gathering and extraction tools for any purpose unless expressly permitted by Drivv.
- A limited exception to (d) is provided to general purpose internet search engines and non-commercial public archives that use such tools to gather information for the sole purpose of displaying hyperlinks to the Service, provided they each do so from a stable IP address or range of IP addresses using an easily identifiable agent and comply with our robots.txt file.
Right to Suspend or Remove Users.
We reserve the absolute right to remove your account or suspend your account from Drivv powered by Courierboard at any time and for any reason or for no reason and without notice to You. We are not liable for any damage or loss resulting from such suspension, or removal. Events that may result in the suspension or removal of your account include but are not limited to: flagging; abusive or hostile behavior; unresolved disputes; creating and/or maintaining multiple accounts or relation to other accounts; committing fraud or violating this User Agreement; and, poor performance on the site (negative feedback, etc.). Courierboard LLC and Drivv powered by Courierboard have no obligation to disclose the reason for actions taken under this section. All decisions are final.
Third-Party Service Limitations
You acknowledge that Drivv may establish limits concerning use of the Site, including the maximum number of days that Content will be retained by the Site, access to the Site, email messages, or other Content that may be transmitted or stored by the Site, and the frequency with which you may access the Service. You agree that Drivv has no responsibility or liability for the deletion or failure to store any Content maintained or transmitted by the Service. You acknowledge that Drivv reserves the right at any time to modify or discontinue the Site (or any part thereof) with or without notice and that Drivv shall not be liable to you or to any third party for any modification, suspension or discontinuance of the Site.
Termination of Service
You agree that Drivv by Courierboard, in its sole discretion, has the right (but not the obligation) to delete or deactivate your account, block your email or IP address, or otherwise terminate your access to or use of the Service (or any part thereof), immediately and without notice, and remove and discard any Content within the Site, for any reason, including, without limitation, If Drivv, believes that you have acted inconsistently with the letter or spirit of the Terms of Use and Conditions. Further, you agree that Drivv, shall not be liable to you or any third party for any termination of your access to the Site.
Further, you agree not to attempt to use the Site after said termination.
Intellectual Property and Access
Additionally, you agree that you will not:
- Copy, reproduce, modify, create derivative works from, distribute, or publicly display any content from the Board without the prior expressed written permission of Drivv and the appropriate third party, as applicable;
- Interfere or attempt to interfere with the proper working of the Site or any activities conducted on the Site.
Email / SMS Notifications and Alerts
All individuals using Courierboard.com / Drivv.com are subject to our Terms and Conditions of use. In using this site, you agree to receive notifications, by email and/or SMS text, regarding account updates and other user notifications. You may elect to unsubscribe from our system and these notices at any time by emailing unsubscribe@courierboard.com.
Privacy Policy
We do not sell or rent your corporate information to third parties for their marketing purposes without your explicit consent. We will not provide information about your membership account to any third parties without your permission. We view the protection of users" privacy as a very important community principle. We store and process your information on computers located in the United States that are protected by physical as well as technological security devices. You can access and modify the information you provide us and choose not to receive certain communications by signing in to your account. We use third parties to verify and certify our privacy principles.

Cookies and Tracking Information
When interacting on our site we use cookies and third-party analytical services to help us record visitor activity and recognize your browser as a previous visitor. These tools are used for analytical purposes and do not include your personal information. Unless you register with us, these cookies will not contain any personal information. Once registered, your account name and/or email address may be recorded along with the URL/pages you visit and any activities you process such as posting a quote request, posting a driver ad, etc.
Indemnity
You will indemnify and hold Drivv (and our officers, directors, agents, subsidiaries, joint ventures and employees), harmless from any claim or demand, including reasonable attorneys" fees, made by any third party due to or arising out of your breach of this Agreement, or your violation of any law or the rights of a third party.
No Agency
No agency, partnership, joint venture, employee-employer or franchiser-franchisee relationship is intended or created by this Agreement.
These Terms constitute a binding agreement between you and Courierboard LLC and are accepted by you upon your use of the Courierboard.com and Drivv.com site.
This Agreement and Terms of Use of the services shall be governed by the laws of the state of Florida, without regard to principles of conflict of laws.
